By becoming an associate of Emily Louisa Yoga, or by using this website, you agree to be legally bound by the following Terms & Conditions.
These are the terms and conditions for the use of my website at www.emilylouisayoga.com (my site) and for the supply of any of the products listed on my site. By using my site or ordering any of my products, you agree to be bound by these terms and conditions. If you do not agree to these terms and conditions, please do not use my site. If you will be using the services on behalf of an entity (such as on behalf of your employer), you agree to these Terms on behalf of that entity and its affiliates and you represent that you have the authority to do so. 1.1. This website is owned and operated by Emily Williams, Owner and Founder of Emily Louisa Yoga. These Terms set forth the terms and conditions under which you may use our website and services as offered by us. This website offers visitors products and services. By accessing or using the website of our service, you approve that you have read, understood, and agree to be bound by these Terms.
2. Accessing the Website
2.1. In order to use this website and/or receive our products and services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive products and services if doing so is prohibited in your country or under any law or regulation applicable to you.
2.2. Whilst we shall use all reasonable endeavours to ensure that our site is available at all times, we reserve the right to withdraw or amend the service we provide on our site without notice. We will not be liable if for any reason our site is unavailable for any reason.
2.3. From time to time, we may restrict access to some parts of our site, or our entire site, to users who have registered with us.
3. Key Commercial Terms
3.1. When buying an item, you agree that:
(i) you are responsible for reading the full item listing before making a commitment to buy it
(ii) you enter into a legally binding contract to purchase an item when you commit to buy an item and you complete the check-out payment process.
3.2. The prices we charge for using our services are listed on the website. We reserve the right to change our prices for products and services displayed at any time and to correct pricing errors that may inadvertently occur.
3.3. No VAT is payable on our items.
3.5. Refunds cannot be given once an event has started.
4. Cancellation
4.1. We reserve the right to refuse to accept you for Classes or to stop providing the Classes to you or to terminate your access to particular Class immediately if you fail to comply with any of these terms and conditions or your previous actions give us reasonable grounds to believe that you may fail to do so in the future. If we exercise the right to cancel your access we shall notify you via email or post and will immediately suspend your access to the Class.
4.2. Please note that if you are a consumer you have a cooling-off period in which you can withdraw from for any reason, subject to the provisions of clause 4.3. below. This cooling-off period ends seven working days from the day after the Contract was concluded and you receive our Booking Confirmation in accordance with clause 4.1 above. If you wish to cancel your order you must notify us within the prescribed period by email.
4.3. If you are a consumer, the cooling-off period and the right to cancel will not apply where you have already attended a class or service.
4.4. To cancel an agreement, you must inform us in writing.
4.5. Classes cancelled by you within the 48-hour cooling-off period will be refunded minus deposit (wehre applicable) and administration charges.
4.5.1. Any cancellations of, or refunds, for Services other than in accordance with the cooling-off period referred to above, will be at our sole discretion, administration charges apply.
4.5.2 Medical reports may be requested.
4.6. Refunds or transfers will not be given if classes/private sessions are cancelled within 24-hours of the start time.
5. Retention of Right to Change Offering
5.1. We may, without prior notice, change the services; stop providing the services or any features of the services we offer; or create limits for the services. We may permanently or temporarily terminate or suspend access to the services without notice and liability for any reason, or for no reason.
6. Ownership of Intellectual Property, Copyrights & Logos
6.1. The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Emily Williams, Owner. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.
6.2. We are the owner or the licensee of all intellectual property rights in our site, in the material published on it, and in our Classes. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
6.3. You must not allow access to, or copies of, the Class Content to any third party or use any part of the Class Content for commercial purposes without obtaining a written licence to do so from us.
7. Right to suspend or Cancel User Account
7.1. We may permanently or temporarily terminate or suspend your access to the service without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms or any applicable law or regulations. You may discontinue use and request to cancel your account and/or any services at any time. Notwithstanding anything to the contrary in the foregoing, with respect to automatically-renewed subscriptions to paid services, such subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment.
8. Indemnification
8.1. You agree to indemnify and hold Emily Williams harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.
9. Limitation of Liability
9.1. To the maximum extent permitted by applicable law, in no event shall Emily Williams, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.
9.2. To the maximum extent permitted by applicable law, Emily Williams assumes no liability or responsibility for any:
(i) errors, mistakes, or inaccuracies of content
(ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service
(iii) any unauthorised access to or use of our secure servers and/or any and all personal information stored therein
9.3. We do not make any commitment that the content of any Products or Services will meet any specific requirements you have and you are required to take reasonable steps to verify that the Classes will meet your needs.

We do not make any commitment to you that you will obtain any particular result from your receipt of the Services or that you will obtain any particular qualification from your receipt of the Services, unless otherwise stated by us. We do not give any warranties that you will be in a position to obtain a particular role or remuneration as a result of your taking part in any of our Services.
9.5. We are not responsible to you for any data that you lose either as a result of accessing the Services or during the completion of any Course.
9.6. Whilst we endeavour to ensure that the information on this site is correct, we do not warrant the accuracy and completeness of the material on this site. We may make changes to the material on this site, or to the products, services and prices described in it, at any time without notice. The material on this site may be out of date, and we make no commitment to update such material.
9.7. We accept no liability for any loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, waste of management or office time or for any indirect or consequential loss or damage of any kind however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in England & Wales. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.
